In the state of Arkansas a “Doing Business As” (DBA) Certificate is needed for any general partnership, LLC, corporation or sole proprietorship that has a business under a name other than the owners of the business. This name is called a fictitious name. A corporation whose parent company is located either within or outside the state of Arkansas and is planning to conduct business under a different name than the parent company must file a fictitious name with the Secretary of State before business can be conducted.

In the state of Arkansas a DBA must be registered for the following reasons:

  • A bank account cannot be opened in the DBA fictitious name until it is registered with the state or county.
  • A company cannot legally operate under a different name other than the owner or the parent corporation or LLC until the DBA is registered with the state.
  • A company cannot advertise under a different name other than the parent company or owner’s individual name unless the DBA is registered with the state.
  • A business license under the DBA name cannot be obtained until the fictitious name is properly registered.
  • Registering a business name will prevent other businesses from using the same name.
  • If the DBA is registered, a lawsuit can be filed against another company using the same or similar name.

If a business tries to operate under a DBA name that is not registered with the state of Arkansas charges of fraud could be filed by the state of Arkansas towards the unregistered business.

Steps for filing a DBA in Arkansas

  1. Select a DBA name that is not similar to another registered name.
  2. Obtain a copy of the DBA filing form from the local country clerk office or online at the secretary of states website
  3. Be sure to sign the form only in front of a notary public. The state of Arkansas requires the DBA filing form be notarized.
  4. There is a $25.00 filing fee that should be paid to the county clerk’s office.
  5. File the form and pay the registration fee at the county clerk’s office.

The DBA must be renewed every five years.
