File a Texas DBA
Any business that is willing to operate with a name (an assumed name) other than the legal business name must file a Texas DBA. In Texas, it is mandatory to file a DBA for all corporations who want to operate with a different name. This includes the limited liability companies and both the limited partnership and limited liability partnerships. The trade name should be filed with Texas’ State Secretary. Also, if a company has their main office in a different county, then the DBA has to be filed with that respective county clerk as well.
The sole proprietorship businesses and the general partnerships may not file the DBA at the State level. However, they will still have to file for the DBA in the country clerk offices of their relevant county, if they are using a name (an assumed name) which is not their company’s legal name.
How to set up the proceedings of DBA?
In order to file a DBA in Texas, you have to first find out if your chosen fictitious name or assumed name is available. You can do this by browsing through the corporate name database of Texas. The companies should choose their assumed names carefully avoiding the names that are closely related to an existing name, appear to be fraudulent or sound deceptive. Failing to do this might lead to a serious legal liability through any federal statue or state number.
How to file a Texas DBA?
In order to file a Texas DBA, you will first have to obtain the form 503. This form is available at the office of Texas’ State Secretary. You can also download it online. The business corporations, the limited liability partnerships and the limited liability companies will have to use the state filing form.
The DBA forms for sole proprietorship and general partnership businesses are available at the websites of the relevant county clerks.
The business corporations, the limited liability partnerships, the limited liability companies and foreign entity filers will have to provide their legal name, the jurisdiction of their company, the address of their company, the period till which the name is going to be used, a statement denoting the type of entity, information regarding whether the company has a primary office in Texas, the countries where the company conducts business and the relevant signature.
The filings of general partnership and sole proprietorship business vary between different counties. But most of them require similar information.
